Summary of Duties:
Under the direction of the Senior Associate Vice President of Advancement Administration and with significant collaboration with the CEO of the WSU Foundation, the General Counsel & Assistant Secretary of the Board, WSU Foundation (GC & AS) serves as the chief legal and policy advisor to the Chief Executive Officer of WSUF/Vice President of Advancement and their Advancement Leadership Team regarding Foundation and Board matters. This position will provide advice, recommendations, and guidance regarding risk management, compliance and regulatory aspects of the organization's operations, programs, agreements, and contracts. This position provides the WSUF's board with legal advice and recommendations regarding all aspects of its operations, including, without limitation, corporate maintenance, board governance, board elections, and new director enlistment, and oversees the performance of the Director, WSUF Volunteer Engagement. This position will also manage the overall direction and strategy of the Foundation's governing board.
Positions require a Bachelor's degree in a relevant field and six (6) years of progressively responsible relevant experience, which has included at least three (3) years of managerial experience. A Master's degree in a related field may be substituted for up to one (1) year of the required experience. Education and experience can be tailored to fit the specific organizational entity/directorial assignment.
Juris Doctorate from an accredited U.S. law school.
At least 8 years of experience practicing law.
Licensed to practice law in the state of Washington.
Demonstrated capacity to deliver legal advice in a complex environment.
Ability to prepare, review and comment on the propriety and implication of a variety of legal documents and instruments.
Evidence of strong written and oral communication skills.
Advanced analytical and critical thinking skills.
Evidence of excellent judgment and decision-making capabilities.
Ability to work collaboratively across departments and with a variety of individuals both within and without the organization.
Ability to work weekends and evenings as necessary.
Desire to provide high quality service to colleagues and Board members.
Demonstrated ability to maintain confidentiality of Foundation's operations and affairs.
Evidence of being able to instill trust and build consensus amongst a diverse group of stakeholders.
Computer literacyparticularly with programs such as Microsoft Office and various databases.
Experience supporting a 501c3 governing board.
Experience working with a non-profit corporation and a tax-exempt organization in a legal and/or compliance capacity.
Knowledge of the ethos and philosophies of professional fundraising.
