Senior Counsel and Chief Compliance Officer

Kora seeks its first in-house legal counsel hire. This person will be responsible for project management as well as direct execution of a wide variety of the firm’s legal and regulatory obligations, with a path to grow into a part of the firm’s leadership team.

Responsibilities include:

• Project management for fund/account/SPV (and other entity) formation and fund offering and organizational documentation
• Drafting/reviewing (in coordination with outside counsel) transactional documentation for structured investments, both public and private
• Drafting/reviewing (in coordination with outside counsel) various business documents such as NDAs, employment/consulting contracts, and service provider agreements
• Maintenance of relationships with outside legal counsel
• Keeping abreast of pertinent legal/regulatory issues that affect the firm’s business (e.g., privacy laws, hiring/HR regulations) and briefing senior management
• Understanding legal implications of Kora’s global footprint, working as appropriate with foreign counsel and tax advisors
• Special projects – e.g., immigration/visa-related for principals
• CCO responsibilities encompassing oversight of firm/fund regulatory requirements under the Investment Advisers Act, including:
  • Maintenance and oversight of the Compliance Manual and firmwide compliance policies and procedures
  • Regulatory filings for management company and funds
  • Review and approval of marketing materials and external communications
  • MNPI determinations worldwide
  • Managing the relationship with outsourced compliance consultant / outside counsel on compliance matters
  • Firmwide training and education on compliance topics
  • Understanding pertinent foreign regulatory rules/requirements applicable to the management company and funds

The position will be based in Kora’s New York offices in Brooklyn (DUMBO).
