Job Description Position Summary This position will report to the Sub Region Contracts Manager. This position is responsible for Sales Contract Activities in South East Asia(SEA) region and will act as a business partner to sales departments in SEA regions and senior management by providing leadership, guidance, and innovation in the contracting and negotiating of customer agreements. The Contracts Manager will provide process discipline and overall leadership in contract formation, risk review, and negotiation planning and authorization processes in a manner that is consistent with the principles of business-like, disciplined contracting (BDC) and Rockwell Automation policies. This manager will be a key player in leading and providing direction in the formation of and modifications to various contracts and associated documentation. Key Responsibilities Negotiates. Review and evaluate terms and conditions and make recommendations for the revision and/or acceptance. Negotiate and draft contractual documents such as sales agreements, license agreements, construction contracts, non-disclosure agreements, subcontract agreements and other complex commercial agreements that establish business relationships with customers, subcontractors and partners. Teams with the business units to manage contract disputes. Successfully resolve multiple complex contract issue. At times this may require decision making with little background information. Risk Evaluation. Manage the review of entire RFP package to ensure all risk areas are address. Identifies and reviews business, legal, and contractual risks, advises organization on acceptable contractual language and strategy to mitigate the risks, and develops and executes on negotiation plan. Approvals . Engages with business units, legal and other functions to obtain approval for non-standard contractual positions in accordance with corporate and business unit policies. Compliance/ Contractual Analysis . Demonstrates knowledge to analyze and structure contracts to ensure compliance to company policy, and other relevant, applicable requirements. Identify opportunities for process improvement and lead efforts required to develop and implement such improvements. Ensure throughout familiarity with company policies and procedures. Appropriately apply polices and procedures in compliance with government laws. Contract Templates . Collaborates with legal, sourcing, and other functions to draft and maintain contract templates.
