Our Investment Bank General Counsel division is seeking an Advisory Attorney (VP) in the Firm's New York office.

To serve as legal advisor and subject matter expert within the Contract Risk Advisory group and to support the Firm's derivatives and securities financing businesses focusing on secured transactions law, collateral access and enforceability, and custodians.

Responsibilities:

  • Advise business, risk managers, and GC colleagues on secured transactions and legal and regulatory matters in the U.S. and other jurisdictions involving collateral segregation, account control agreements, and custody; and serve as subject matter expert on client negotiations.
  • Lead negotiations of account control agreements and related documents with global bank custodians to manage the derivatives and other trading businesses (regulated and unregulated margin, full and partial segregation).
  • Develop and refine account control agreement and associated agreement templates.
  • Build and refine policies, standards, and other guidance materials for account control agreements and pledgor access rights.
  • Maintain current awareness and understanding of industry trends and legal and regulatory developments across businesses affecting account control agreements, custodians, and collateral; and share knowledge across the team and within GC.
  • Represent the Firm on ISDA and other industry working groups on custodians and collateral management.
  • Engage with external counsel; acquire and review legal opinions, as needed.
  • Advise and support technology initiatives in keeping with Firm strategy.
  • Perform other responsibilities and projects as assigned by GC management.

  • Outstanding analytical, problem solving, drafting, and communication skills.
  • Ability to collaborate closely with partners across fields and GC colleagues in a collegial team environment.
  • 10 -15 years negotiating and advising on ISDA agreements and related agreements; experience negotiating and advising regularly on credit, security, and custodial agreements.
  • Experience analyzing and evaluating external counsel legal opinions, advice, and research.
  • Knowledge of non-U.S. insolvency law and secured transactions law is a plus!
  • Hardworking, result oriented with excellent client service and coordination skills.
  • J.D. and New York Bar admission.
